Important Legal Notice

"This is a binding agreement between you and **Smartif.ai**. By installing the Refinely application, you acknowledge that you have read, understood, and agree to be bound by these terms."

Binding upon installation or trial activation.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of **Refinely** (the "App"), developed by **Smartif.ai** (the "Developer"). These terms constitute a legally binding agreement between **Smartif.ai** and the entity or individual accessing the App ("User" or "Customer").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms.

2. License Grant & Restrictions

Subject to your compliance with these Terms, Smartif.ai grants you a non-exclusive, non-transferable, revocable license to use the App solely within your Atlassian Cloud environment for internal business operations.

No unauthorized redistribution or sub-licensing.

Prohibition on reverse engineering or service benchmarking.

Restriction on using and/or training competitive AI models with the App's logic.

5. AI Service Level & Data Egress

Architecture & Shared Responsibility

Refinely operates by transmitting data to third-party LLM providers (e.g., Google Gemini API, OpenAI, Anthropic) via our secure orchestration layer. By using the App, you explicitly acknowledge and authorise the egress of data from your Atlassian Cloud instance to your configured AI provider.

Customer Responsibility: You are responsible for ensuring that your agreement with the AI provider (Google Gemini API, OpenAI, Anthropic, etc.) complies with your organisation's data privacy and model training requirements.

Expanded-package workspace controls such as PII masking and transparency reporting may reduce egress risk when enabled. These controls are not included in the Standard Marketplace tier. Smartif.ai provides no warranty regarding the final handling of data by the AI provider once it has reached their endpoint.

7. Warranty Disclaimer & Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SMARTIF.AI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

This agreement remains effective until terminated by either party. Upon termination, all licenses granted herein shall immediately cease.
